New Jersey Department of Taxation: The Department will provide an update on New Jersey Taxes.

Tax Elections and Support for M&A Deals: This session will cover tax aspects of M&A transactions, including pre-closing restructuring, purchase price allocation, tax representations and warranties, tax indemnification, tax covenants, 338(h) election, and 336(e) election.

Christina Quinones, New Jersey Division of Taxation Office of the Taxpayer Advocate

Christina started with the Division in 2007 in the Customer Service Call Center where she gained a vast knowledge of all taxes and programs administered by the Division. Christina joined Taxation University in 2015 where she became a strong part of our employee training program and continued to assist the practitioners and business communities by providing valuable tax information through seminars and education. In April of 2020 Christina moved to the Office of Legislative Analysis to assist in navigating the legislation that impacts the Division. As of the Spring of 2023, Christina is the newest addition to the Office of the Taxpayer Advocate.

Milan D. Slak, Esq., LL.M (Taxation), CPA

Milan Slak focuses his practice on complex business transactions including domestic and cross-border mergers and acquisitions, leverage buyouts, joint ventures, and recapitalizations. He has been the lead attorney or lead tax and structuring attorney on numerous M&A transactions.

A licensed CPA, Milan advocates on behalf of clients to resolve tax controversies with the Internal Revenue Service and state taxing authorities by assisting taxpayers with audits, appeals, refund claims, offers in compromise, private letter rulings, voluntary disclosure, and civil tax litigation.  Milan also assists clients with local business tax issues, sales tax audits, and federal excise tax issues.

Milan represents clients in the formation and organization of business entities and documents client goals and objectives in structuring the governing documents of these entities. He provides critical counseling on business transactions including M&A, due diligence, corporate governance, financing, contracts, and employment, operating, and shareholder agreements.
